Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and ASAP Hub Pte. Ltd., a company incorporated in Singapore (UEN: 202215416M), with its registered office at 10 Anson Road, #10-11, International Plaza, Singapore 079903 ("ASAP Hub", "we", "us", "our"), governing your access to and use of Ads Peakand related websites, applications, and services (collectively, the "Service"). By creating an account, connecting an advertising account, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and authority

The Service is for business use only. You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company or other entity, you represent that you are authorised to bind that entity to these Terms, and "you" refers to that entity.

2. The Service

Ads Peak is a marketing-analytics platform that helps agencies and brands analyse and optimise advertising performance across the ad accounts they manage. Features include performance dashboards, AI-generated recommendations and summaries, benchmarks, a hooks library, reporting, and — only when you explicitly choose to — applying changes back to a connected ad account. We may add, change, or remove features over time.

3. Accounts and security

• You are responsible for all activity under your account and for keeping your credentials confidential.
• You must provide accurate information and keep it up to date.
• Notify us promptly of any unauthorised use of your account.

4. Connecting ad accounts and third-party platforms

• You represent that you own, or are authorised by the owner to access and manage, every ad account, Page, or asset you connect to Ads Peak.
• Your use of connected platforms (including Meta/Facebook/Instagram) remains subject to those platforms' own terms and policies, and you agree to comply with them.
• You authorise Ads Peak to access and process data from connected accounts, and to make changes you explicitly approve, in order to provide the Service.
• Connections rely on third-party APIs that may change or become unavailable; we are not liable for resulting interruptions.

5. Acceptable use

You agree not to:

• access data or accounts you are not authorised to access;
• use the Service to violate any law or any third party's rights, or any platform policy;
• reverse engineer, scrape, overload, or attempt to disrupt or gain unauthorised access to the Service;
• resell or provide the Service to third parties except as expressly permitted;
• use the Service to build a competing product or to misuse another advertiser's data.

6. AI features

AI-generated recommendations, scores, summaries, and hooks are decision-support only and may be incomplete or inaccurate. You are solely responsible for reviewing them and for any changes made to live campaigns, whether applied through Ads Peak or otherwise. Ads Peak does not guarantee any advertising outcome.

7. Fees, billing, and cancellation

• Paid plans are billed in advance on a recurring (e.g., monthly) basis through our payment processor, Stripe, until cancelled.
• You authorise us to charge your payment method for applicable fees and taxes.
• You can cancel at any time; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
• We may change pricing or plans with reasonable prior notice; changes apply to the next billing period.

8. Intellectual property and your data

The Service, including its software, design, and content (excluding your data), is owned by ASAP Hub and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms.

As between you and us, you retain all rights to the data you connect or upload ("Your Data"). You grant us a worldwide, non-exclusive licence to host, process, and display Your Data solely to provide and improve the Service. We may create and use aggregated, de-identified data (which does not identify you, your clients, or any individual) for benchmarks and to operate and improve the Service, consistent with our Privacy Policy and applicable platform terms.

9. Confidentiality and privacy

Each party will protect the other's non-public information. Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will produce any particular advertising result.

11. Limitation of liability

To the maximum extent permitted by law, ASAP Hub and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the fees you paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnification

You will indemnify and hold harmless ASAP Hub from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, Your Data, your violation of these Terms, or your violation of any law or third-party right (including any platform's terms).

13. Term and termination

These Terms apply while you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, misuse the Service, or create risk or legal exposure for us. On termination, your right to use the Service ends; sections that by their nature should survive (e.g., IP, disclaimers, liability, indemnity, governing law) will survive.

14. Changes to these Terms or the Service

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above and, where appropriate, communicated to you. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules. The courts of Singapore have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to that jurisdiction and venue, except that we may seek injunctive relief in any competent court.

16. General

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
